Mr. Huguet has over 40 years in natural resource development, including North, Central and South America and South East Asia. Many joint ventures and unique financing structures highlighted his career with the Atkinson Companies. He started his career in 1963 with Atkinson and left Atkinson in April 1997 where he had served 8 years as President and 4 years as Managing Director of Atkinson Holdings and Commonwealth Construction. During his 33 years, this Company constructed and placed into operation 86 major mining projects, including the Granduc Copper Mine (Asarco), Gibraltar (Placer Development) and La Coipa (Placer Dome). Mr. Huguet joined Andean American as Chairman in April 1997 and took operational control in September 1998.

| David Rae |

From 1998 to 2006 Mr. Rae worked in various management capacities with Falconbridge, becoming the Vice President, Strategy and Commercial, where he managed the global sales of Falconbridge Nickel products and business unit strategy. He successfully led the multi-disciplinary team integrating the Nickel unit of Falconbridge into Xstrata. Mr. Rae subsequently worked with Xstrata Nickel from 2006 to 2008, including the new position of Senior Vice President Europe & Africa, where he was responsible for strategic initiatives and sales growth. Prior to joining Andean American, Mr. Rae has been advising in a consulting capacity to companies such as Kinross, Vale Inco and Iamgold on operational, productivity and strategic challenges. He holds a BSc in Physical Metallurgy from Leeds University, Yorkshire, England. |

| Bruce Ramsden |
VP Finance and Chief Financial Officer

Mr. Ramsden has been a Vice President and CFO with noted resource companies since 1996. In this capacity, he was responsible for the integrity of the financial reporting, corporate governance, budgeting and the facilitation of financial undertakings, including raising $155 million in debt financing. He received the 2006 Mining Journal Development Funding Award for his work with Tiomin Resources Inc. He has a Bachelor of Commerce as well as a degree from The Institute of Chartered Secretaries and Administrators. Mr. Ramsden is a member of the Institute of Commercial and Financial Accountants of Southern Africa, the Institute of Chartered Secretaries and Administrators in both South Africa and Canada and Financial Executives International Canada. |

Mr. Zabel holds a Bachelor of Finance degree from the University of Miami, in Miami, Florida. From 2005 to 2010, he was an analyst at Praetorian Capital Management LLC, a long-short equity hedge fund based in Miami. |

Ms. Hatch is a Canadian Chartered Accountant, with over 8 years of accounting and financial reporting experience with Canadian publicly traded companies. Ms. Hatch’s focus has been primarily on junior resource companies in both the mining and oil and gas sectors. Prior to joining Andean American, Ms. Hatch provided consulting services to various public companies. |

Ms. Waisman is a communications specialist with over 15 years as a Media Producer and Director including 10 years as a Manager at Rogers Cablesystems. Subsequently she received her MBA from Simon Fraser University, and has spent the past 10 years working in Investor Relations and Corporate Communications capacities with companies such as Datawest Solutions, Tera Capital and Navigator Fund Company. Ms. Waisman is also a former president and board member of the Greater Vancouver Media Association. |

Ms. Echegaray holds a law degree from the University Federico Villarreal in Lima, Peru. Ms. Echegaray has been working in the mining industry in corporate affairs and land acquisitions since 1998. Her knowledge of Peru's mining laws and her experience in relevant mining matters is seen as a major benefit to the company.

| Les Tarnai |

Mr. Tarnai has over 50 years of diversified experience in engineering and construction, as well as management and operations, in the pulp, paper and forest industries. He recently completed his assignment as General Director, South American Operations, directing the front end engineering for two major pulp mill expansions, preparation of EPC proposals and studies in South America. Mr. Tarnai was VP of Engineering of a major construction company, Construction Manager of a 570 tpd greenfield linerboard mill overseas and previously was Project Manager and Resident Manager for a 300 tpd newsprint mill. In total, Mr. Tarnai has spent over twenty years in senior engineering management positions. He joined Sandwell Engineering in 1994, prior to which he worked in several Canadian and Swedish pulp and paper mills as plant/maintenance/project engineer and as a paper machine and pulp dryer specialist.

Mr. Robertson has worked in the petrochemical, pulp and paper, and mining industries for the past 45 years. He has a Bachelor of Science and degrees in HVAC, CCU engineering and accounting. Mr. Robertson has worked with engineering companies such as Brown & Root, Ralph M. Parsons, Bechtel, Fluor, Fluor Daniel, Kellogg, H.A. Simons, Sandwell, Davies International, Wright, Toyokogyo, Dillingham and M3 Engineering. In addition he worked with companies such as Boise Cascade, Canadian Hydro Carbons, Exxon, Shell, BP, Chevron, Home Gas, Bechtel, Ralph M. Parsons, Commonwealth Construction, Argus Installations, Placer Dome, Phelps-Dodge, Cyprus Anvil, Comeco and US Gold. |

From 2004 to 2009, Mr. Huaman was the President of Minera Huallanca, where he managed the 1000tpd Pucarrajo Zn-Pb-Ag mine and the 850tpd Contonga Zn-Pb-Ag-Cu mine, both underground operations. From 2002 to 2004, he was General Manager of Cedimin SAC and other Companies linked to the group: Minera Paula 49 S.A.C., CIA Minera Coloquirrumi S.A., Minera Palma S.A.C., and CIA Minera Coimolache S.A., whose Tantahuatay Project borders the Sinchao property. From 1994 to 2002, Mr. Huaman was the Projects Chief/Explorations Manager for Cedimin SAC, a subsidiary of the BRGM?France and Buenaventura Mining Company Peru. Mr. Huaman is an Engineering Graduate of the Universidad Nacional Mayor de San Marcos and a Geologist Engineer with a Postgraduate degree in Exploration and Valuation of Mineral Resources from the University of Nancy, France. Mr. Huaman is a former President of the Geological Society of Peru. |

Mr. Panduro has a master’s degree in Industrial Engineering and a doctorate in Engineering Production. He previously spent 29 years working primarily in metallurgy with the Sociedad Minera Cerro Verde S.A.A., a significant copper and molybdenum producer in Peru, majority-owned by Freeport McMoran Copper & Gold. In addition, Mr. Panduro has 10 years of experience in mining and industrial safety procedures as an instructor, supervisor and general manager. He has conducted extensive metallurgical research and presented his work at numerous academic and industry-related conferences. |

Mr. Kangas has been working in the mining industry in Canada and Latin American for over 40 years, primarily in the position of Mine Foreman at mines such as El Limon in Nicaragua and El Mochito in Honduras. In addition, Mr. Kangas worked with well known Canadian projects such as the Black Dome Mine, Craigmont Mines and Western Mines in British Columbia. |

Mr. de la Cruz is a Mine Engineer with more than 15 years experience in the mining sector in mechanized and conventional underground mining. He is a graduate of the Universidad Nacional del Centro del Peru, Huancayo, with a Bachelor’s Degree in Mining Engineering. In addition, he has completed a Masters of Business Administration. Prior to joining Andean American, he worked for Minera Huallanca S.A., starting in 2002 and rising to the position of Mine Superintendent. Mr. de la Cruz has worked for several mining companies in Peru gaining experience in various management capacities as well as having extensive knowledge of exploration and development. |

| Mr. Mayta graduated as a Geologist in 2001 from the Universidad Nacional Mayor de San Marcos, Peru. Since then Mr. Mayta has developed works of exploration and exploitation in gold and copper deposits for companies as: Sociedad Minera el Brocal, Sociedad contractual minera El Abra- Chile, CIA Minera Condestable SAA, Chancadora Centauro, Compañía Minera Spire S.A. de CV-Mexico, Datamine Peru SAC. Mr. Mayta is experienced in modelling and estimation of resources using mining software (Datamine, Gemcom). |
